Liz Longster is an associate in the London office of Latham & Watkins and a member of the Data & Technology Transactions Practice.

Liz focuses on strategic transactions, particularly those with a focus on the acquisition and commercialisation of technology and IP. She has significant experience in large-scale, multi-jurisdictional transactions with a tech focus.

Liz advises clients from a broad range of sectors, including private equity, social media, entertainment, sports & media, consumer products, travel, financial, information technology, telecoms, and healthcare and life sciences in connection with:

  • IP and commercial aspects of corporate transactions, with a particular focus on complex carve-outs 
  • Complex commercial contracts
  • Intellectual property
  • Global data privacy matters (with particular experience advising on European data privacy legislation, including the UK GDPR and GDPR)

Liz trained in the firm’s London office, gaining experience in acquisition and leveraged finance, and corporate M&A and private equity transactions, in addition to the Data & Technology Transactions Practice. Liz also spent time on secondment to The Carlyle Group where she assisted on a range of private equity M&A transactions globally.

In addition to Liz’s practice experience, she served as a member of Latham & Watkins’ pro bono committee for three years.

Liz’s experience includes:

  • The consortium led by Todd Boehly and Clearlake Capital in respect of IP and commercial contract on its £4.25 billion acquisition of Chelsea Football Club
  • L’Oréal on IP matters in respect of its acquisition of Aēsop from Brazilian Natura
  • Whirlpool Corporation on its joint venture with Arçelik A.Ş creating a combined €6 billion revenue business, as part of its global portfolio transformation
  • Yellow Wood Partners on its acquisition of Elida Beauty from Unilever
  • DAZN Group regarding the acquisition of Foxtel from News Corp and Telstra, and separately the considered acquisition of BT Sport from BT plc
  • Two Circles on its acquisition of Two Circles, a market-leading sports media rights and live production company 
  • Farfetch, regarding the agreement for Richemont and YNAP to each adopt Farfetch Platform Solutions, and separately in relation to their acquisition of certain intellectual property from Opening Ceremony, an American multi-brand retailer
  • Meta on its acquisition of Unit 2 Games Limited
  • A number of top-flight private equity and investment firms to acquire technology-rich businesses and companies in respect of IP and commercial contracts, such as long-term IP and data licensing agreements, transitional service agreements and contractual joint venture
  • Silver Lake Partners on its substantial minority investment into IVC Evidensia group, the leading European veterinary care provider
  • Blackstone Infrastructure Partners on the acquisition by a consortium, including Blackstone Infrastructure Partners, of Applegreen plc
  • Pro bono in relation to the protection of intellectual property rights and drafting and negotiation of numerous commercial contracts across a range of sectors
