Latham & Watkins Advises on CoreWeave’s US$2.25 Billion Convertible Senior Notes Offering
CoreWeave, Inc. (Nasdaq: CRWV) announced the pricing of its private offering of US$2.25 billion aggregate principal amount of its 1.75% convertible senior notes due 2031. The offering was upsized from the previously announced offering of US$2 billion aggregate principal amount of notes. The issuance and sale of the notes are scheduled to settle on December 11, 2025, subject to customary closing conditions. CoreWeave also granted the initial purchasers of the notes an option to purchase, for settlement within a 13-day period beginning on, and including, the date on which the notes are first issued, up to an additional US$337.5 million aggregate principal amount of notes.
