Will Fowler is an associate in the Silicon Valley office of Latham & Watkins and a member of the firm’s Executive Compensation, Employment & Benefits Practice.

Will advises public and private companies on a range of executive compensation and employee benefits matters, at the intersection of tax, securities, employment, and corporate law. His work includes:

  • Counseling on compensation issues arising in mergers and acquisitions, initial public offerings, and other corporate transactions
  • Structuring and maintaining compensatory plans and arrangements, including equity and other incentive-based compensation
  • Preparing proxy materials and securities filings related to executive compensation matters
  • Advising on the design and implementation of compensation arrangements for executives and employees, including employment, separation, severance, and change-in-control agreements

Before joining the firm, Will received his law degree from the University of California, Berkeley, School of Law. While attending law school, he was an associate editor of the California Law Review and a judicial extern to Judge William H. Alsup of the US District Court for the Northern District of California. Before law school, Will worked at Emerson Collective on philanthropy and special projects.

  • The underwriters on Pattern Group’s US$300 million initial public offering
  • WNS on its US$3.3 billion acquisition by Capgemini
  • USA Rare Earth on its acquisition of Serra Verde Group for approximately US$2.8 billion
  • NEXT Insurance on its US$2.6 billion acquisition by Munich Re
  • Cognition on its acquisition of Windsurf
  • dbt Labs on its all-stock merger with Fivetran
  • Spectrum Equity on its US$180 million investment in CyberCube
