Karen Wong is an associate in the Hong Kong office of Latham & Watkins and a member of the Finance Department.

Karen advises international banks, funds, corporates, and high-net-worth individuals on a range of structured finance, derivatives, securitization, fund financing, and banking transactions, including:

  • Structured products and establishment of structured and repackaging programs
  • Margin loans and other share-backed financings secured on Hong Kong and US listed securities
  • OTC derivatives across different asset classes including interest, FX, equity, and credit
  • Offerings of debt, equity-linked, credit-linked, and hybrid securities such as convertible and exchangeable securities

Karen’s recent transactional experience includes advising:

  • Vingroup JSC on its US$255 million private credit financing for Vinpearl, its hospitality arm
  • Clifford Capital on multiple issuances of infrastructure asset-backed securities (IABSs), including through:
    • Bayfront IABS VIII, its eighth public IABS transaction, comprising a portfolio of loans and bonds of approximately US$733.3 million in size. This transaction marks the eighth and largest-ever infrastructure CLO/IABS globally
    • Bayfront IABS VII, its seventh public IABS transaction, comprising a portfolio of loans and bonds of approximately US$705 million in size. The first CLO/IABS in Rule 144A/Reg S format for an APAC collateral manager — a landmark transaction for the development of the CLO market in Asia Pacific. This transaction was awarded Debt Market Deal of the Year at the ALB SE Asia Law Awards 2026 and Asia-Pacific ABS Deal of the Year at the IJGlobal Awards 2025
    • Bayfront Infrastructure Capital VI, its sixth public IABS transaction, comprising a portfolio of loans and bonds of approximately US$527 million in size, which included the first unrated mezzanine tranche to be offered to IABS investors on an unguaranteed basis. This transaction was awarded Best Bond Deal: Singapore, Best Project Finance Deal: Singapore, and Best Structured Finance Deal: Singapore at the FinanceAsia Achievement Awards 2025
  • Cogent IPv4 LLC in connection with a first-of-its-kind Rule 144A/Regulation S securitization of approximately 12.6 million Internet Protocol version 4 (IPv4) addresses and related customer contracts globally via a special-purpose, bankruptcy remote subsidiary, involving originators in eight jurisdictions, including Hong Kong and Singapore
  • Leading originators and banks in relation to warehouse arrangements, including a leading Hong Kong property development group’s landmark residential mortgage warehouse program
  • Leading funds in relation to a broad range of fund financings, including subscription line facilities, and structured NAV facilities
  • A leading listed conglomerate in relation to a US$625 million structured pre-IPO exchangeable asset backed bond issuance
