Francisco Lanusse is an associate in the New York office of Latham & Watkins. Francisco is a member of the Corporate Department as well as the M&A and Private Equity and the Latin America Practices.
 
Francisco frequently advises companies and private equity firms on cross-border acquisitions, divestures and corporate matters in industries such as energy and infrastructure and telecommunications.

Francisco’s practice focuses on M&A and private equity transactions in the region and he has particular experience on:

  • Partnership and joint venture agreements

Francisco has practiced in Madrid and New York. Before joining Latham, Francisco practiced in Buenos Aires at a leading Argentine law firm and as an in-house lawyer, where he primarily handled corporate and M&A transactions. Francisco is qualified both in New York and Buenos Aires.

Francisco maintains an active pro bono practice, with a particular focus on immigration and asylum matters. Francisco currently serves as a Local Leader o f the Hispanic/Latin America Lawyers Group.

  • Global Infrastructure Partners (now Blackrock) in connection with multiple transactions, including:
    • Strategic US$1 billion joint venture with Vale S.A. in Aliança Geração de Energia S.A., a privately held company operating in the Brazilian energy market
    • Strategic port infrastructure joint venture in Peru with Grupo Romero
    • Acquisition of Atlas Renewable Energy, the second largest independent renewables developer in Latin America (14 fully contracted solar assets that produce 2.3 GW of installed capacity, across Brazil, Chile, Mexico and Uruguay)
    • Sale of its renewable assets (550MW of solar projects in Brazil) to Engie Brasil Energia Complementares Participações Ltda. (EBECP) for US$643 million
  • Canada Pension Plan Investment Board on the acquisition of the 50% ownership interest at Inkia Energy, at a total enterprise value of US$3.4 billion
  • One Rock Capital Partners, LLC, on its acquisition of Advanced Organic Materials S.A., an Argentine producer of plant-based vitamin E and phytosterols
  • Linzor Capital Partners on its acquisition of Wi-Net Telecom, a Peruvian telecommunications company

    • The sale of Movistar Argentina to Telecom Argentina for US$1.25 billion
    • The sale of its 67.5% stake in Telefonica Colombia to Millicom for US$400 million
    • The sale of Telefónica Chile S.A. to Millicom and NJJ Holding SAS
    • The sale of Otecel Ecuador for US$380 million to Millicom
    • The sale of Telefonica Uruguay to Millicom for US$440 million

  • Softys on its acquisition of Ontex Group NV’s personal hygiene business in Mexico for approximately US$ 302 million and the acquisition of the Brazilian business activities of Ontex Gorup
  • Repsol on its sale of upstream business in Ecuador to New Stratus Energy Inc and the sale of its midstream business to Pampa Energía Bolivia S.A., a subsidiary of Pampa Energía.
