Latham & Watkins Advises Gerresheimer on Sale of Centor and Its Global Primary Packaging Plastics Business

International team represents Gerresheimer on two complex transactions.

Gerresheimer Glass Inc., USA, Gerresheimer Glas GmbH, Gerresheimer Group GmbH, and Gerresheimer AG (Gerresheimer), entered agreements with funds advised by Apax Partners LLP regarding the sale of Centor US Holding Inc., USA, as well as Gerresheimer’s global Primary Packaging Plastics business. The total purchase price for the two business units is based on a combined enterprise value of approximately €1.5 billion. Latham & Watkins LLP has advised Gerresheimer on both transactions. In addition to the Centor site in the United States, the transaction includes a total of 15 production sites for primary plastic packaging in nine countries. In 2025, the two businesses generated combined revenue of approximately €570 million with a total of around 2,400 employees.

Gerresheimer is an innovative systems and solutions provider and a global partner for the pharma, biotech, and cosmetic industries. The transactions are subject to customary closing conditions and approvals and will be closed independently of one another. The sale of Centor is expected to close by the end of financial year 2026, while the sale of the global Primary Packaging Plastics business is expected to close in the first half of financial year 2027.
