Latham Advises Aegon on the Accelerated Bookbuilding for Shares of a.s.r.

A cross-office team advised the selling shareholder on US capital markets matters.

Latham & Watkins represented international financial services holding company Aegon on the sale, through an accelerated bookbuild process to qualified institutional investors, of 12.5 million ordinary shares of a.s.r., the second-largest insurer in the Netherlands. The placement yielded gross proceeds of approximately €700 million. Following completion of the transaction, Aegon’s shareholding in a.s.r. will reduce from 29.96% to approximately 24% of a.s.r.’s share capital.

Working closely with the Aegon team led by Lein-Pieter Cevaal, VP Capital Markets Solutions, Robert-Jan Terpstra, Capital Markets Solutions Specialist, Marvin Brizee, SVP-Head of Group Treasury, and Willem Beltman, Senior Legal Counsel, Latham advised Aegon on US law matters with a Capital Markets team consisting of London/Paris partner Roberto Reyes Gaskin, with associate Madeleine Hahn de Bykhovetz, and New York partner Peter Harwich and Washington, D.C. partner Paul Dudek, with Houston associate Kate Wang, advising on corporate governance and public company representation matters.
