Latham Adds Experienced SEC Practitioner to Structured Finance Practice

Arrival of Rolaine Bancroft, former Chief of the Office of Structured Finance, adds significant regulatory and enforcement experience.

Latham & Watkins is pleased to announce that Rolaine Bancroft has joined the firm’s Washington, D.C. office as a counsel in the Structured Finance Practice. Bancroft most recently served as Chief of the Office of Structured Finance in the US Securities and Exchange Commission’s Division of Corporation Finance.

Bancroft’s broad practice spans complex structured finance, capital markets, and securities compliance matters, including US securities law compliance for securitization transactions and participants, policy advocacy for asset-backed securities offerings, and compliance with rules applicable to nationally recognized statistical rating organizations and credit ratings of asset-backed securities.

Bancroft has held multiple roles during her 20-year career at the SEC, bringing particular insight into SEC reporting and disclosure obligations, having developed and overseen the Office of Structured Finance’s disclosure review program. During her tenure, Bancroft led several SEC rulemakings, most recently rules prohibiting certain conflicts of interest in securitization transactions, known as Rule 192. She has navigated complex regulatory and legislative landscapes, advised on policy development across multiple divisions, and participated in enforcement investigations. She also provided expert technical advice to congressional staff on matters related to securitization.

Bancroft received her JD from American University’s Washington College of Law.
