Latham Advises on Alibaba’s US$5 Billion Convertible Senior Notes Offering

Latham & Watkins has advised the underwriters on Alibaba’s issuance of US$5 billion aggregate principal amount of 0.50% Convertible Senior Notes due 2031, which amount includes the exercise in full by the initial purchasers of the option to purchase an additional US$500 million aggregate principal amount of the Notes.

The Latham team was led by Hong Kong corporate partners Posit Laohaphan and Benjamin Su, with New York partner Reza Mojtabaee-Zamani and counsel Polina Tulupova, with Beijing counsel Wei Wei and associate Jasmine Hu, and Hong Kong associates Christine Lo, Brian Chae, and Stewart Lai, with New York associate Jack Neff and Foreign Legal Consultant Lizzy Zhang. Advice was also provided on tax matters by New York partner Elena Romanova, with Washington, D.C. associate Shiyi Zhang.
