Latham & Watkins Represents Vivid Seats and the Selling Stockholder in Secondary Offering of Class A Common Stock

Capital markets and tax team advised the online ticket marketplace and the selling stockholder on the offering.

Vivid Seats Inc. (NASDAQ: SEAT), a leading marketplace that utilizes its technology platform to connect millions of buyers with thousands of ticket sellers across hundreds of thousands of events each year, has announced the pricing of a secondary underwritten public offering of 16,000,000 shares of the Company’s Class A common stock by Hoya Topco, LLC (the selling stockholder) at a price to the public of US$8.00 per share. The selling stockholder has granted the underwriters a 30-day option to purchase up to an additional 2,400,000 shares of Class A common stock. All of the shares in the offering will be sold by the selling stockholder. The offering is expected to close on May 22, 2023, subject to the satisfaction of customary closing conditions. The Company will not receive any proceeds from the sale of the shares by the selling stockholder.
