Vladimir Mikhailovsky advises issuers and underwriters in capital markets and finance transactions across the full spectrum of the capital structure.

Mr. Mikhailovsky regularly advises both global and local clients — companies and banks — on a variety of capital markets and finance transactions, including:

  • Debt and equity offerings
  • Subordinated debt
  • Bilateral and syndicated loans
  • Liability management
  • Debt restructurings
  • Derivatives

He draws on extensive experience with a full complement of debt and financing products in multiple jurisdictions, as well as the familiarity with the relevant regulatory regimes, to execute complex, cross-border transactions.

 Mr. Mikhailovsky’s representative experience includes advising:

  • Alfa Bank on a drawdown under its LPN program in the amount of RUB10 billion (Series 9) pursuant to Regulation S
  • J.P. Morgan in connection with the offer to purchase for cash any and all of its outstanding 8.25% Notes due 2020 issued by MHP SE
  • PAO Severstal in connection with the 3.85% Loan Participation Notes issued under its LPN Program
  • Tinkoff Bank in connection with the issuance of 9.25% Loan Participation Notes
  • Tatfondbank in connection with the issuance of 12.5% Perpetual Loan Participation Notes
  • ABH Financial, the parent company of Alfa Bank, in relation to the establishment of its debt issuance program and the issuance of €350 million 4.125% loan participation notes as Series 1 pursuant to Regulation S
  • Promsvyazbank in connection with the establishment of a US$20 billion Global Debt Issuance Program
  • Gazprombank in relation to the offering of €1 billion 4% loan participation notes issued as Series 17 pursuant to Regulation S and ‎update of its debt issuance program
