Olga Ponomarenko is a partner in the London office of Latham & Watkins. Ms. Ponomarenko primarily advises clients on mergers and acquisitions. She counsels clients from various industries on a range of complex M&A transactions and general corporate matters. Ms. Ponomarenko also has significant experience in equity capital markets, and represents issuers and underwriters in offerings of shares and depositary receipts outside the US under Regulation S and within the US in exempt and registered offerings.

  • One Rock Capital Partners on the acquisition of Constantia Flexibles, a leading global packaging manufacturer, from the investment firm Wendel
  • Siemens AG in connection with the winding down of all its business activities in Russia including transactions, compliance with sanctions and reorganisation measures
  • Cian PLC, a leading online real estate classifieds platform in Russia, on its IPO and listing of 18,213,400 American Depositary Shares on the NYSE and MOEX
  • Renaissance Insurance Group PJSC, a Russian diversified independent insurance company, on its IPO and listing on the Moscow Exchange
  • Underwriters in connection with the US$1.1 billion initial public offering of Ozon, a Russian ecommerce group, on Nasdaq
  • The sole underwriter and the sole placement agent in a public offering and concurrent private placement by Yandex, Russia’s leading search and ride-hailing provider
  • The lead arranger and lender in connection with the take private offer for KAZ Minerals PLC
  • IVI, an online video streaming platform in Russia, on a new funding round of US$250 million from external investors and current shareholders
  • Public Investment Fund of Saudi Arabia on a number of M&A transactions in Russia as co-investor alongside Russian Direct Investment Fund, including related sanctions compliance matters
  • A consortium of three Indian oil and gas companies — Oil India Limited, Indian Oil Corporation Limited, and Bharat PetroResources Limited — on the acquisition from Rosneft of:
    • A 23.9% stake in JSC Vankorneft, which holds the Vankor Licenses in Eastern Siberia
    • A 29.9% stake in Taas-Yuriakh Neftegazodobycha, a Russia-based oil and gas exploration and production company
  • Uniper Exploration & Production in the sale of a 25% stake in the Yuzhno-Russkoye gasfield to OMV
