Derek Chua is a partner in the Hong Kong office of Latham & Watkins and a member of the Corporate Department.

Mr. Chua has extensive experience in a wide range of structured equity, equity-linked, and OTC derivative transactions, including:

  • Equity derivative transactions such as swaps, forwards, options, stock lending, and repos and monetization transactions
  • Convertible and exchangeable securities offerings
  • Margin loan transactions
  • Other complex structured equity transactions

He also provides transactional and regulatory advice in connection with structured product and OTC derivative transactions, including issues relating to netting and collateral, capacity and licensing, and mandatory clearing and reporting. In addition, he is experienced in structured finance transactions, establishment of structured note and repackaging programs, issuance of equity, credit, index, and portfolio-linked instruments, structured and repackaged notes, and other retail and institutional structured products.

Mr. Chua’s recent transactions include advising international investment banks, corporates, and buy-side clients on matters related to the following:    

  • Convertible and exchangeable bond transactions
  • Securities lending and borrowing transactions
  • Margin financing transactions
  • Swaps and hedging transactions
  • Structured products and establishment of structured and repackaging programs
