Charles Armstrong is a partner in the London office of Latham & Watkins and is a member of the Banking Practice. Mr. Armstrong focuses on domestic and cross-border leveraged finance and restructuring transactions acting for both sponsors and arranging banks across multi-tiered capital structures including the full range of bank and bond/bridge, first and second lien, bank and mezzanine, and holdco PIK transactions.

Mr. Armstrong has also undertaken secondments with both the Nomura Leveraged Finance team and the Goldman Sachs fixed income legal team.

Mr. Armstrong's representative transactions include acting for:
  • Leonard Green Partners in relation to the debt financing for its acquisition of CPA Global
  • Goldman Sachs, HSBC Bank, and UniCredit Bank as mandated lead arrangers in relation to the covenant-lite term loan B and revolving credit facilities provided to the TMF Group to refinance its existing indebtedness
  • Morgan Stanley and the Royal Bank of Scotland as mandated lead arrangers in relation to the super senior and senior secured debt financing provided to the Anacap Group
  • Carlyle private equity in relation to the covenant-lite term loan B and revolving credit facilities provided to an Italian portfolio group
  • Goldman Sachs, Credit Suisse, and Jefferies as mandated lead arrangers in relation to the first and second lien term and revolving credit facilities provided to Barings Private Equity in relation to the acquisition of the Vistra Group and Orangefield Group
  • JP Morgan, Goldman Sachs, Deutsche Bank, Morgan Stanley, and others in relation to the super senior, senior secured and senior subordinated debt financing for Cinven’s acquisition of Synlab
  • Nordic Capital and the Lindorff Group in relation to the acquisition and financing of the Aktua Group
  • Nordic Capital in relation to various pik holdco financings provided in relation to certain portfolio groups
  • Onex Corporation in relation to the senior facilities debt financing for its million acquisition of Survitec Group Limited
  • BNP Paribas, Bank of Ireland, and a confidential international bank in relation to the senior debt financing for Providence Equity’s acquisition of Clarion Events
  • A leading European private equity sponsor in relation to the senior facilities debt financing for its acquisition of the Terveystalo Healthcare Group*
  • A leading European private equity sponsor and its Hungarian speciality chemicals producer portfolio company in relation to the restructuring of the portfolio group’s senior and mezzanine debt facilities*
  • A listed investment company in relation to the senior debt financing for its acquisition of FKI plc*
