Zheyi represents issuers and underwriters in a range of equity and debt capital markets transactions, including US-registered, Rule 144A, and Reg S offerings, as well as structured product offerings, with a particular focus on South and Southeast Asia.

Zheyi’s experience includes advising:

  • Foundation Healthcare, an integrated private healthcare platform in Singapore, on its S$242 million initial public offering and listing on the SGX
  • Fractal Analytics Inc on its US$314 million IPO listed on BSE and NSE. This transaction is India’s first AI IPO 
  • The underwriters on the S$284.9 million public offering of AvePoint, which is the first US registered follow-on offering and concurrent secondary listing by a Nasdaq-listed company on the SGX. This transaction was awarded Equity Market Deal of the Year at the ALB SE Asia Law Awards 2026, and Best Equity Deal: Singapore at the FinanceAsia Achievement Awards 2025
  • The underwriters in WeWork India’s US$338 million India IPO of shares listed on BSE and NSE
  • The underwriters in Physics Wallah’s US$393 million India IPO of shares listed on BSE and NSE. This transaction is the first-ever Indian IPO in the edtech sector
  • UltraGreen.ai, a global leader in the fluorescence-guided surgery space, on its US$400 million initial public offering and listing on the SGX
  • Sunway Healthcare Holdings on its US$722 million IPO on the Bursa Malaysia
  • The Lead Managers on the issuance by Astrea 9 Pte. Ltd. of S$615 million Class A-1 bonds, US$200 million Class A-2 bonds, and US$100 million Class B payment-in-kind bonds, backed by cash flows from a portfolio of private equity funds
  • The dealers on the issuance by Clifford Capital Holdings Pte. Ltd. of US$500 million 3.97% notes due 2028. This was Clifford Capital Holdings Pte. Ltd.’s debut bond transaction, and the first unguaranteed issuance of bonds by the Clifford Capital Group
  • The dealers on the update by Clifford Capital Credit Solutions Pte. Ltd. of its euro medium-term note program, including the addition of Clifford Capital Asset Finance Pte. Ltd. as issuer and an upsize of the program size to US$3.1 billion
  • The dealers on the issuance by Clifford Capital Credit Solutions Pte. Ltd. of its US$500 million 4.037% notes due 2031, and on the issuance by Clifford Capital Asset Finance Pte. Ltd. of its US$500 million 3.852% notes due 2029
