Sean M. Parish is an associate in the Chicago office of Latham & Watkins and a member of the Corporate Department.

Mr. Parish advises public and private companies, private equity sponsors, and portfolio companies in a broad range of corporate transactions, including mergers and acquisitions for financial and strategic clients as well as general corporate matters.

 

Mr. Parish’s representative experience includes advising:

  • Integra LifeSciences in its cross-border acquisition of the Codman Neurosurgery business of Johnson & Johnson, a portfolio of devices focused on advanced hydrocephalus, neuro-critical care, and operative neurosurgery
  • GTCR, LLC in its acquisition of Sage Payment Solutions, a provider of payment processing and merchant acquiring solutions
  • FMC Technologies in its merger with Technip, a France-based designer and developer of offshore oil and gas processing facilities, via the EU cross-border merger regime    
  • Onex Corporation in its acquisition of the Save-A-Lot business of SUPERVALU, a grocery retailer
  • Onex Corporation and Baring Private Equity Asia in its acquisition of the intellectual property and science business from Thomson Reuters, a provider of integrated information solutions
  • Special Committee of the Board of Directors of Textura Corp. in the sale of Textura, a provider of collaborating software solutions for the construction industry, to Oracle
  • Leone Media, a subsidiary of One Equity Partners, in its pending acquisition of a 51% stake in Ericsson Media Solutions, a provider of media processing, delivery, and TV service platforms
