Sarah Branch is an associate in the Washington, D.C. office of Latham & Watkins and a member of the firm’s Capital Markets Practice, where she advises market-leading public and private companies on the full spectrum of complex capital markets transactions.

Sarah assists clients in executing financings that support growth, manage regulatory exposure, and meet evolving market expectations, including initial public offerings, follow-on equity offerings, and high-yield and investment-grade debt offerings. She also advises companies on general corporate matters, public company disclosure obligations, and listing standards for the NYSE and NASDAQ.

Sarah’s representative experience includes advising:

  • ELME Communities (formerly Washington Real Estate Investment Trust), a REIT that owns commercial and multifamily properties, on its US$550 million ATM offering*
  • The Commonwealth of the Bahamas on its Rule 144A/Reg S offerings of more than US$1 billion notes and subsequent offerings*
  • Bristol-Myers Squibb on its tender offer and redemption of up to US$4 billion of notes*
  • VICI Properties, Inc. on an aggregate of US$4.75 billion senior unsecured notes and US$662 million forward offering of common stock*
  • BNP Paribas, Mizuho, and Redding Ridge, as co-structuring agents, in connection with an inaugural US$827 million aviation loan ABS by PK AirFinance, a leading aviation lending platform and affiliate of Apollo Global Securities*
  • Piper Sandler & Co., Morgan Stanley & Co. LLC, and Keefe, Bruyette & Woods, Inc., as joint book-running managers, in First Busey Corporation’s underwritten public offering of US$207.5 million depositary shares*
