Sadie Kavalier is an associate in the Washington, D.C. office of Latham & Watkins.

Sadie represents boards of directors, individuals, and corporate clients in a range of matters, including:

  • Merger and takeover disputes
  • Stockholder derivative litigation
  • Class action litigation
  • FINRA inquiries
  • Complex contractual disputes
  • Books-and-records demands

Prior to joining Latham, Sadie clerked for Chancellor Kathaleen St. Jude McCormick on the Delaware Court of Chancery. While in law school, Sadie served as a notes editor on the Duke Law Journal and was an active member of the moot court board. 

Sadie’s experience includes advising: 

  • Directors of Skillsoft Corp. in derivative stockholder litigation alleging breach of fiduciary duties in connection with an alleged controlling stockholder transaction, securing complete dismissal*
  • Sculptor Capital in defeating a motion for a temporary restraining order brought in New York state court seeking to block the sale of Sculptor to Rithm Capital*
  • Directors affiliated with Blackstone, Inc. in stockholder litigation in the Delaware Court of Chancery challenging their actions on the board of One Call Corp., securing complete dismissal*
  • A pharmaceutical company in pre-closing litigation concerning adequacy of the company’s tender offer disclosure materials and corresponding FINRA inquiries*
