Mustafa Rehman is an associate in the Restructuring Practice in the London office of Latham & Watkins.

Mustafa represents investment funds, sponsors, companies, financial institutions, and management teams on complex special situations, along with opportunistic and restructuring transactions across the capital structure. This includes liability management exercises, event-driven transactions, bond restructurings, debt-for-equity swaps, enforcements, distressed M&A, alternative credit, and other distressed debt investments.

Prior to joining Latham, he spent time as a banker in PJT Partners’ Restructuring and Special Situations Group in London and practiced at a Magic Circle law firm in London and Hong Kong.  

Mustafa's experience includes :

  • The LYCRA Company: 
    • Advising the mezzanine lenders on negotiations with an ad hoc group of senior creditors to facilitate a novel multi-jurisdictional enforcement which enabled such lenders to take operational control and equity ownership of the international fashion and textile manufacturer via one of the largest successful credit bid applications filed in the Netherlands* 
    • Advising the funding sponsors on the structuring and implementation of a secured working capital facility*
    • Advising the sponsors and certain investors on the refinancing of the 2023 notes and revolving credit facility via a “drop-down” liability management transaction with “pari-plus” features*
  • Sunac China:
    • Advising the ad hoc group of bondholders on the US$10.2 billion offshore restructuring of the Chinese real estate conglomerate, one of the largest schemes of arrangement implemented in Asia, featuring an equity-linked structure in respect of listed shares including convertible and exchangeable bonds (IFR Asia Restructuring of the Year 2023)*
  • Genting Group Hong Kong:
    • Advising the management team of the cruise and resort business on contingency planning and strategic options*
  • Naviera Armas:
    • Advising the company, a Spanish passenger and freight ferry services business, on a holistic recapitalization by way of a €1 billion debt-for-equity swap implemented via a Spanish homologación judicial*
  • KCA Deutag:
    • Advising the RCF lenders and ancillary facility providers in relation to a US$1.4 billion full balance sheet restructuring of the oil and gas services company implemented via an English scheme of arrangement*
  • Steinhoff:
    • Advising the company, an international retail group, on its €10 billion multi-jurisdictional restructuring via two English law company voluntary arrangements*
