Mia G. DiBella

Corporate Governance and Executive Compensation Attorney

Mia DiBella advises on corporate governance and executive compensation issues as a member of the firm’s Public Company Representation and Executive Compensation, Employment & Benefits Practices. 

Ms. DiBella draws on her extensive in-house experience to handle a variety of public company representation matters. From 2009-2014, Ms. DiBella served as associate general counsel and corporate secretary at The Hain Celestial Group, a publicly traded consumer products company. She then served as the company’s senior vice president, human resources from 2015-2019. Her experience includes liaising with the Board of Directors, disclosure committee matters, SEC filings, annual shareholder meetings, shareholder proposals, and shareholder outreach. In addition, Ms. DiBella has significant experience in human resources, employment law, benefits and executive compensation matters, including assisting the Compensation Committee and working closely with the external compensation consultant to facilitate the design of executive compensation policies and programs, compliance with stockholder advisory group recommendations, and preparing the proxy statement, employment agreements, equity plans, and long-term incentive and equity grant communications.

Prior to working at The Hain Celestial Group, Ms. DiBella served as an associate in Latham’s Corporate Department from 2001-2009, practicing in the Chicago and then New York offices. During this time, she primarily advised on corporate finance, emerging and public company representation, and mergers and acquisitions. She represented a number of issuers and investment banks in private and public offerings, including initial public offerings. Ms. DiBella also advised various public companies on a day-to-day basis, including in connection with the preparation and filing of ‘34 Act reports, as well as corporate governance and securities law issues.
