Mia DiBella advises leading companies on complex issues at the intersection of corporate governance and executive compensation.

Ms. DiBella draws on her extensive in-house experience and sophisticated understanding of securities law reporting, compliance, governance, benefits and executive compensation,
human resources, and employment law to guide clients on:

  • Day-to-day public company representation, including general securities, corporate governance, and public reporting matters
  • Executive compensation policy and program design
  • Compliance with stockholder advisory group recommendations
  • Proxy statements, employment agreements, equity plans, and long-term incentive and equity grant communications

Ms. DiBella previously worked at The Hain Celestial Group, a publicly traded consumer products company, where she served as associate general counsel and corporate secretary from 2009 to 2014, and as senior vice president, human resources, from 2015 to 2019. In these roles, she liaised with the Board of Directors and managed disclosure committee matters, US Securities and Exchange Commission (SEC) filings, annual shareholder meetings, shareholder proposals, and shareholder outreach and oversaw the human resources function.

Before that, Ms. DiBella was an associate in Latham’s Chicago and New York offices, where she advised on corporate finance, emerging and public company representation, and mergers and acquisitions. She represented issuers and investment banks in private and public offerings, including initial public offerings, as well as public companies on day-to-day matters.
