Ms. Descalzo combines extensive transactional experience with a sophisticated understanding of highly regulated industries, including regarding energy transition, to guide companies, infra funds, and private equity firms on:

  • M&A and joint ventures
  • Initial public offerings
  • Day-to-day corporate and regulatory advice

She regularly counsels clients on complex contractual and regulatory matters, including proceedings and reviews before the National Commission on Markets and Competition (CNMC), where she worked for five years. 

Ms. Descalzo helps clients unlock the resources of Latham’s global platform to seamlessly execute transactional strategy across jurisdictions.

  • Global Infrastructure Partners (GIP) and KKR on acquiring a majority stake in Vantage Towers, a Germany-based mobile telecommunications tower infrastructure operator, in a joint venture with Vodafone
  • Opdenergy, an independent renewable energy producer focused on solar photovoltaic and wind energy technologies, on its debut on the First Market of the Spanish Stock Exchange
  • Brookfield Asset Management on acquiring the Cupa Group, a leader in the natural slate and stone business, from The Carlyle Group 
  • IMG on acquiring the Mutua Madrid Open tennis tournament and the Acciona Open de España golf tournament
  • Repsol, a Spanish energy company, on:
