Bruce Racine is an associate in the New York office of Latham & Watkins and a member of the firm’s Restructuring Practice.

Bruce represents public and private companies, private equity sponsors, creditors, and other clients in complex domestic and cross-border corporate restructurings, liability management, and distressed financings.

Bruce clerked for the Honorable Mary F. Walrath of the United States Bankruptcy Court for the District of Delaware. Before joining Latham, he was a restructuring and finance associate at two other leading New York law firms. 

While at Colgate University, he was a member of Colgate’s NCAA ice hockey team.

  • iRobot in connection with its comprehensive prepackaged chapter 11 restructuring, whereby the company will deleverage its balance by equitizing approximately US$265 million of debt held by the company’s sole secured lender and primary supplier, Shenzhen PICEA Robotics and Santrum Hong Kong*
  • Carestream Dental, a leader in digital transformation for the oral healthcare industry, with over US$800 million in debt obligations, in connection with an out-of-court recapitalization transaction resulting in US$525 million of new capital*
  • Terraform Labs Pte. Ltd., a Singapore-based software developer in its chapter 11 cases, involving billions of dollars in claims asserted by the SEC*
  • The Greenrose Holding Company in connection with its out-of-court restructuring*
  • Talen Energy Supply, LLC and certain of its affiliates in connection with their chapter 11 cases to restructure approximately US$5 billion in funded debt*

Creditor and Distressed Situation 

  • Brookfield Asset Management, the secured lender to a renewable energy company, in connection with its ongoing refinancing efforts*
  • Strategic Value Partners, as sponsor and debtor-in-possession lenders in the prepackaged chapter 11 cases of Klöckner Pentaplast, a global packaging and specialty film manufacturer*
  • An ad hoc group of 2L lenders of Northvolt Ett, a Swedish battery developer and manufacturer, during its restructuring negotiations and subsequent chapter 11 filing*
  • HPS Investment Partners in a recapitalization transaction of Vialto, a New York-based provider of global mobility solutions, reducing the company’s outstanding debt by approximately US$550 million and delivering a US$225 million new money equity capital investment*
  • Johnson & Johnson as a creditor in the mass tort chapter 11 cases of Imerys Talc America, Inc., which filed for chapter 11 as a result of thousands of personal injury lawsuits*
  • EP Energy E&P Company, LLC, formerly EP Energy E&P Company, L.P., as a creditor in the chapter 11 cases of MLCJR LLC, an independently owned oil and gas exploration and production company operating in the Gulf of Mexico*
  • The largest secured lender of Parallel in connection with its restructuring efforts*
  • Marathon Digital Holdings, a publicly traded bitcoin mining company, as the largest unsecured creditor, customer, and preferred equity investor in the chapter 11 cases of Compute North, LLC*
