Latham Advises Ara Partners on US$1.9 Billion M&A Transaction With Energy Fuels

Members of firm’s Energy & Infrastructure group advise on the sale of VAC, a rare earth magnetics platform. 

Energy Fuels Inc. (NYSE American: UUUU) (TSX: EFR) has announced a definitive agreement to acquire 100% of Vacuumschmelze GmbH & Co. KG, Ara VAC TopCo US LLC, and their respective consolidated subsidiaries (collectively, VAC) from Ara Partners (Ara) for a total cash-and-stock consideration of approximately US$1.9 billion, creating a fully integrated platform to strengthen global critical rare earth element supply chains. Ara will own approximately 19.9% of Energy Fuels following the closing of the VAC transaction.
