Ben Russell is an associate in the Restructuring & Special Situations Practice in the London office of Latham & Watkins. Ben advises on a wide range of matters relating to corporate restructuring, distressed debt investments, and special situations work, acting for various stakeholders including corporates, funds, and financial institutions throughout the capital structure.

Ben’s experience also includes direct lending, private debt, and leveraged finance transactions.

Ben’s representative experience includes:

  • The ad hoc committee of term, RCF, and L/C lenders to ARVOS, the global manufacturer and supplier of industrial equipment, heat exchange, and transfer solutions, on its c. €590 million debt and equity recapitalization transaction, implemented via a UK scheme of arrangement
  • The noteholder committee on the recapitalization and more than €1 billion debt and equity restructuring of Naviera Armas
  • Farfetch on its sale to Coupang and Greenoaks via a pre-pack administration process
  • A direct lender in relation to an approximately €1 billion unitranche financing supporting the acquisition of a multinational business
  • TA Associates in connection with its acquisition of a significant stake in Enscape and the equity arrangements with Enscape’s existing majority shareholder 
  • New Look, the UK-headquartered national fashion retailer, in relation to the Company Voluntary Arrangement of its store portfolio and debt and equity recapitalization in 2020
