Latham & Watkins Advises Farfetch on Its Sale to Coupang and Greenoaks & Entry Into a US$500 Million Bridge Loan Facility

Latham & Watkins has advised Farfetch on the entry into a US$500 million bridge loan facility by Farfetch Holdings plc and certain of its subsidiaries, as borrowers and/or guarantors, with Athena Topco LP an entity owned by Coupang, Inc., and funds managed and/or advised by Greenoaks Capital Partners LLC, as lender. The parties have also entered into a transaction support agreement pursuant to which the sale of the Farfetch business to Athena Topco LP is expected via a UK pre-pack administration process.
