Latham & Watkins Represents Advantage Solutions in Comprehensive Refinancing

Multidisciplinary team advises the retail solutions agency in consent solicitation, exchange offer, and debt refinancing transactions.

Advantage Sales & Marketing Inc., an indirect subsidiary of Advantage Solutions Inc. (NASDAQ: ADV) (Advantage Solutions), completed an exchange offer to exchange any and all of its outstanding senior secured notes due 2028 for a combination of newly issued senior secured notes due 2030 and cash, together with a related consent solicitation to amend the indenture governing the existing notes. On the settlement date, the company paid an aggregate of approximately US$43.7 million in cash consideration and issued an aggregate principal amount of approximately US$559.1 million of new notes in exchange for the tendered notes, representing more than 99% participation from existing noteholders. In connection with the notes exchange and consent solicitation, Advantage Solutions refinanced its existing term loan credit facility with a new US$1.035 billion senior secured first‑lien term loan facility and extended its existing senior secured asset‑based revolving credit facility. Together, the refinancing transactions comprehensively extended maturities across Advantage Solutions’ capital structure.
