Latham & Watkins Advises SGB-SMIT Group on €1.3 Billion Refinancing

Cross-practice team represents European transformer specialist in the transaction.

Latham & Watkins LLP has advised SGB-SMIT Group, a European transformer specialist and One Equity Partners portfolio company, on a €1.3 billion refinancing. The new financing was combined with restructurings in the holding structure.

The transaction comprised the raising of a Term Loan B of €940 million, a guarantee facility of up to €275 million, and a revolving credit facility of €75 million for SGB-SMIT MidCo GmbH.

Latham & Watkins previously advised the SGB-SMIT Group on its existing financing.

The Latham team was led by Munich finance partner Christian Jahn and counsel Rainer Adlhart, with associates Philipp Guggeis and Thomas Stüber, and Washington, D.C. partner Jennifer Kent, with associate James Audet. Advice was also provided on international trade matters by London partner Charles Claypoole, and on tax matters by Munich partner Ulf Kieker, with associate Henning Kleymann.
