Latham Advises Epiris on Its Proposed Recommended Cash Offer for Gamma Communications plc
Latham & Watkins is advising Epiris on the proposed recommended cash offer by Bradbury Bidco Limited, a newly incorporated company controlled by funds managed and/or advised by Epiris GP III Limited, for the entire issued and to be issued ordinary share capital of Gamma Communications plc.
Under the terms of the acquisition, each Gamma shareholder will be entitled to receive 1,120 pence in cash per Gamma share, valuing the entire issued and to be issued ordinary share capital of Gamma at approximately £1.015 billion on a fully diluted basis.
Gamma Communications is a leading European provider of business-critical communications technology. With over 2,000 employees, Gamma is a FTSE 250 company listed on the Main Market of the London Stock Exchange. The acquisition is intended to be implemented by way of a court-sanctioned scheme of arrangement under part 26 of the Companies Act 2006 and is expected to complete during the first half of 2027, subject to the satisfaction or, where applicable, waiver of the conditions.
