Latham & Watkins Advises KKR on Squeeze-Out at ENCAVIS

Latham & Watkins has advised KKR on the successful implementation of a squeeze-out of the minority shareholders of ENCAVIS AG by way of a merger squeeze-out. The merger squeeze-out was approved by ENCAVIS AG’s annual general meeting this year and registered with the commercial register on  September 10, 2025.

Headquartered in Hamburg, Germany, ENCAVIS AG was the parent company of the ENCAVIS Group, a leading independent electricity producer, acquiring and operating solar parks and wind farms across Europe. ENCAVIS AG has now merged into Elbe BidCo AG, which will be renamed and relocated to Hamburg, Germany.

Latham & Watkins previously represented KKR in connection with the strategic partnership with ENCAVIS AG, including a voluntary takeover offer and a subsequent delisting tender offer.

The Latham team was led by Düsseldorf corporate partner Heiko Gotsche, with associates Steffen Augschill, Alexander Pfeifer, Jan Gocha, Arne le Dandeck, and Jaschar Mirkhani.
