Shawn Noh is an associate in the New York office of Latham & Watkins.

Shawn represents issuers, financial institutions, and investment funds in the structuring, negotiation, and execution of complex equity derivatives and equity-linked transactions. His practice focuses on hedging and monetization strategies and equity-based financing arrangements (including transactions involving concentrated equity positions).

Shawn has extensive experience advising on convertible and exchangeable securities and related derivative overlays (including call spread, capped call and prepaid forward structures), margin loans secured by positions in public and private companies, structured repurchase transactions (accelerated forward and forward issuer repurchases), equity forward issuances, and bespoke over-the-counter derivatives, among others. He also advises on financing and liquidity strategies for both domestic issuers and U.S.-listed foreign private issuers.

Shawn brings a commercially driven approach to helping clients navigate the intersection of securities law, derivatives regulation, and credit and collateral considerations in sophisticated financing and risk management transactions, particularly those that are complex and execution-sensitive.

Shawn maintains an active pro bono practice, representing domestic abuse survivors, children, and victims of interfamilial and gender-based violence in immigration proceedings.

Prior to joining the firm full-time, Shawn was a summer associate in the New York office. He previously worked as an intern at the New York State Office of the Attorney General in the Investor Protection Bureau.

While attending law school, Shawn was an editor for the Harvard Business Law Review.

  • Private equity sponsors, hedge funds and corporate counterparties in cross-border structured hedging and monetization transactions, as well as synthetic acquisition transactions with asset managers and other financial institutions
  • Issuers, including Airbnb, DoorDash, Peloton, Vertical Aerospace, Shift4, Opendoor, CNX Resources, Alphatec Holdings, Vertex, Endeavor, Slack, CyberArk, Stride and Vroom, as well as major investment banks, as bookrunners and dealers on convertible note offerings and related derivative overlay transactions
  • Financial sponsors, hedge funds and corporate counterparties in bespoke financing and derivatives transactions in connection with mergers and other strategic transactions, including transactions involving Paramount Global / Skydance Media, Authentic Brands Group, Endeavor, Ocean Network Express, Salesforce, 10X Capital and Caesars Entertainment
