    Seth Richardson advises project sponsors, investors, and lenders in the development and financing of renewable and conventional energy projects, petrochemical and liquefied natural gas terminals, casino resorts, athletic complexes, and other infrastructure projects.

    Mr. Richardson routinely counsels project sponsors on the structuring, drafting, and negotiation of:

    • Construction, design, and other development-related agreements, including:
      • EPC contracts
      • Turbine supply agreements
      • Module supply agreements
      • Construction management and other development agreements
      • AIA and DBIA construction forms
    • Power purchase and other offtake agreements
    • Operation and maintenance, asset management, and other service-related agreements
    • Purchase agreements and other ancillary agreements relating to the ownership, operation, acquisition, and disposition of infrastructure projects and commercial developments

    Mr. Richardson also regularly advises both sponsors and lenders on negotiating credit agreements and other financing documentation for commercial and infrastructure projects (construction-phase and operational).

    • ACC in negotiating an engineering, procurement, and construction agreement for a biogas generating facility in Colusa County, California
    • Kayne Anderson Capital Advisors in negotiating an engineering, procurement, and construction agreement; a related operations and maintenance agreement; and an energy management agreement for a utility-scale solar project in North Carolina
    • Ares Management in negotiating turbine supply agreements, service agreements, and other related project documents for three utility-scale wind farms in Texas
    • A project developer in negotiating a turbine supply agreement and service agreement for a utility-scale wind farm in Mexico
    • Innergex Renewable Energy in negotiating an operation and maintenance agreement, asset management agreement, and QSE agreement for a utility-scale solar project in Texas
    • PTTGC in negotiating construction, design, and service agreements for a large petrochemical complex to be located in Ohio
    • An energy company in negotiating construction-related agreements for a proposed LNG project to be located in southeastern Africa
    • LA Football Club in negotiating construction and design agreements for a new soccer stadium in Downtown Los Angeles
    • Lucas Museum of Narrative Art in negotiating construction and design agreements
    • Impossible Foods in negotiating construction, design, and supply agreements for various projects located throughout the United States and Mexico
    • Lago Casino in negotiating construction and design agreements for a casino resort in upstate New York
