Rick Offsay, a partner in the Entertainment, Sports & Media Practice, provides strategic advice to clients across a broad array of transactions.

Mr. Offsay represents strategic industry participants (including studios, production companies, networks / streamers, and digital media startups) as well as financial investors (including private equity, alternative lenders, and high net worth individuals), and other entertainment, sports, and media clients.

He helps clients through all stages of the business lifecycle, from equity and debt financing to strategic arrangements to exit transactions, with particular experience structuring joint ventures. Mr. Offsay leverages broad deal experience and industry understanding to help clients navigate complex transactions.

  • Endeavor in multiple acquisitions and dispositions
  • JTBC in its acquisition of a majority interest in the Wiip production company from CAA
  • Leading media-focused private equity fund in multiple IP library acquisitions
  • Legendary Entertainment in its sale to Dalian Wanda
  • Metro-Goldwyn-Mayer in its sale to Amazon, Inc.
  • Metro-Goldwyn-Mayer in its acquisition of full ownership of EPIX from Lionsgate, Viacom, and Paramount
  • Silver Lake Partners in its acquisition of TEG, Asia Pacific’s leading live entertainment and ticketing company
  • Sonar Entertainment in its sale to Chicken Soup for the Soul Entertainment
  • Univision Communications in its bankruptcy acquisition of assets of the Gawker Media Group
