Kamal Dalal is an associate in the London office of Latham & Watkins and a member of the Derivatives and Structured Finance & Securitization Practices.

Ms. Dalal regularly advises clients on structured finance and securitization transactions across a range of asset classes, including SME and consumer loans, auto loans, point-of-sale receivables, trade finance receivables, and residential and commercial mortgages. She has worked with a number of fintech clients, including in connection with the financing of European government-backed SME loan portfolios, as well as banks, asset managers, funds, insurers, and corporates. She also has experience advising clients in relation to OTC derivative transactions, synthetic securtizations, and structured hedging solutions.

Ms. Dalal has experience advising clients on regulatory matters and co-authored the UK chapters of Chambers & Partners Securitisation Global Practice Guide 2021. Prior to joining Latham, Ms. Dalal worked at a Magic Circle law firm, where she regularly advised and was seconded to the International Swaps and Derivatives Association (ISDA).

Ms. Dalal's experience includes advising:

  • Several leading UK SME lending platforms in connection with their accreditation under the Coronavirus Business Interruption Loan Scheme (CBILS) and the Recovery Loan Scheme (RLS) and the implementation of associated funding programs for CBILS and RLS loans
  • Various UK and US asset managers on their investments in synthetic securitizations with portfolios of UK SME loans and prime auto loans
  • A major UK bank as originator of a warehouse financing and public securitization of a portfolio of point-of-sale consumer credit loans
  • A US asset manager in diligencing and structuring the securitization of a portfolio of Spanish SME loans backed by the Pan-European Guarantee Fund in response to the COVID-19 pandemic
  • A leading German bank on an international supply chain financing of automotive parts and related inventory financings
  • A major UK bank as the arranger of a securitization of wholesale data centers
  • The risk retention holder, servicer, and originator in connection with the securitization of a portfolio of SME loans
  • The mandated lead arrangers on their hedging arrangements in connection with a €1.3 billion financing of the acquisition by Tencent Holdings of a significant stake in US music entertainment company Universal Music Group
  • ISDA Credit Derivatives Determinations Committees in relation to various Credit Events under the 2003 and 2014 ISDA Credit Derivatives Definitions*
  • A number of global banks on the implementation of new regulatory margin requirements under EMIR, including designing legal tech solutions to repapering and margin compliance*
