John Spears advises institutional investors on real estate financing transactions.

Mr. Spears represents lenders in complex secured financing transactions, including:

  • Origination of CMBS loans, construction loans, and mezzanine loans
  • Secondary market transactions, including syndications, loan purchases and sales, and the negotiation of co-lender and intercreditor agreements
  • Workouts

Mr. Spears’ experience includes advising:

  • A national bank on the US$1.3 billion financing, and later refinancing, of a premier Manhattan office building*
  • A national bank on the origination of mortgage and mezzanine loans totaling US$700 million, which included creation of leasehold condominium structures to permit a nonprofit tenant to realize real estate tax savings*
  • A national bank on the origination of a US$176 million securitized leased-fee mortgage loan involving certain commercial real property in New York City*
  • A national bank on the origination of a mortgage loan covering a portfolio of over 120 office properties in 10 states*
  • Investment companies, banks, and other clients on the origination, purchase, and sale of mortgage and mezzanine loans ultimately secured by hotels, golf courses, shopping centers, office parks, mixed-use developments, multifamily office towers, and various other properties*
