Joanna Gorska is a member of the Project Development & Finance Practice of Latham & Watkins and is based in the San Diego office.

Ms. Gorska’s practice focuses on the representation of sponsors and borrowers as well as credit agencies, commercial banks, and other financial institutions in connection with the development and financing of projects across various sectors, including the energy and petrochemical sectors.

Ms. Gorska’s recent experience includes advising:

  • Two export credit agencies and a group of 29 commercial lenders on a US$7.4 billion financing of the Cameron liquefied natural gas (LNG) project in Louisiana, US, sponsored by Sempra Energy, GDF SUEZ, Mitsui, and Japan LNG Investment, LLC, which was named Deal of the Year: Americas by Trade Finance.
  • Sasol, an international energy and chemical company, on a multi-billion-dollar facility in Louisiana, US, including an upgrade of the existing plant and the development of a world-scale ethane cracker and gas-to-liquids (GTL) facility. This matter was named Americas Petrochemical Deal of the Year by Project Finance International and North American Petrochemicals Deal of the Year at the IJGlobal Americas Awards.
  • A group of note purchasers and lenders on a financing of the Los Angeles International Airport (LAX) Consolidated Rent-A-Car Facility (ConRAC) development project, which was named a finalist for the category of Best Transit Project by P3 Awards.
  • Panda Power Funds on a multi-billion dollar financing and development of a portfolio of combined-cycle power plants across the United States with a combined capacity of more than 5,800 megawatts, including in connection with IJGlobal’s 2015 North American Merchant Power Deal of the Year for the financing of its Hummel Station Project, and IJGlobal’s 2014 North American Merchant Power Deal of the Year for the financing of its Stonewall Power Project.
  • Recurrent Energy in connection with its solar equipment supply financing to fund the acquisition of solar equipment intended to qualify a pipeline of development solar projects for the 30% investment tax credit. The transaction was awarded North America Solar Deal of the Year by IJ Global.
  • Vivint Solar in connection with a revolving asset-based loan facility to finance the purchase of safe harbor equipment to allow its solar energy systems to qualify for the 30% investment tax credit.
  • Suez Energy International on a project financing in connection with the Az-Zour North IWPP Project, including a 1500-MW gas-fired power plant and a 107 MGD water desalination plant in Kuwait. This transaction was named Middle East & Africa Power Deal of the Year by Project Finance International (PFI), Middle Eastern PPP Deal of the Year by Project Finance, and Project Finance Deal of the Year at the IFLR Middle East Awards.
  • D.E. Shaw Renewable Investments on a financing of the purchase of a 66 MW in-construction solar photovoltaic project in Dawson County, Texas.
