Dominic Newcomb is a partner in the London office of Latham & Watkins and a member and former Vice Chair of the firm’s global Finance Department. Mr. Newcomb practices in the field of international bank finance representing sponsors and borrowers in a wide range of domestic and cross-border financing and restructuring transactions.
Mr. Newcomb has extensive experience in senior, mezzanine, and bridge debt finance for leveraged cross-border acquisitions. He also has experience in insolvency and restructuring matters, representing sponsors and debtors throughout the capital structure in numerous complex transactions.
Mr. Newcomb's representative matters include advising:
- Platinum Equity in connection with the bank financing of its acquisition of Biscuit International Group
- An EQT led consortium in connection with the financing of its acquisition of Nestlé Skin Health
- Platinum Equity in connection with the senior financing of its acquisition of the Iberconsa group
- EQT on the senior and second lien financing for its acquisition of Dellner Couplers
- EQT on the senior and second lien financing incurred in connection with the acquisition of the Suse business
- Partners Group in connection with the bank financing of its acquisition of Schleich Holding
- Sivantos, an EQT portfolio company, on the senior and second lien facilities incurred in connection with its merger with the Widex group
- The Carlyle Group on the financing for the €10.1 billion acquisition by Carlyle and GIC of AkzoNobel’s Specialty Chemicals business
- The Carlyle Group and InvestIndustrial on the financing for their acquisition of the International Design group
- Platinum Equity with respect to the senior and second lien financing for its acquisition of the European vacation rental business of Wyndham Worldwide Corporation
- EQT on the senior and second lien refinancing of the IVC group, one of its portfolio companies, having acted for EQT on the original buy-out financing
- EQT on the bond and bank refinancing of Limacorporate S.p.A, one of its portfolio companies, having acted for EQT on the original buy-out financing
- The Carlyle Group in connection with the bank debt financing of its acquisition of the ADB Safegate Group
