Alice Parker is an associate in the Houston office of Latham & Watkins and is a member of the Mergers & Acquisitions Practice.

Ms. Parker advises clients on strategic transactions across the energy infrastructure, energy transition, as well as upstream, midstream, downstream, and LNG sectors.

She specifically advises clients on:

  • Diversified Energy in connection with its upstream asset-backed securitization of jointly owned assets with features aligned with the ICMA Sustainability-Linked Bond Principles
  • EIG in its sale of a 49% interest in Elba Liquefaction Company, to Blackstone Credit
  • TotalEnergies in its strategic partnership with Global Infrastructure Partners through which TotalEnergies will acquire half of GIP’s interest in Clearway Group
  • Diversified Energy Corporation Plc in connection with its third securitization of its operated upstream proved-developed assets, through a notes offering by its special purpose vehicle, Diversified ABS III, of US$365 million offering of non-recourse asset backed securities
  • Canada Pension Plan Investment Board in the merger of its portfolio company, Crestone Peak Resources, in connection with the all-stock merger with Bonanza Creek and Extraction Oil and Gas, the surviving entity known as Civitas Resources, Inc.
  • A private-equity backed midstream services entity in its acquisition of certain saltwater gathering and disposal assets located in Texas
  • Global Infrastructure Partners on its preferred equity investment of up to US$245 million in Easton Energy LLC, a midstream company focused on developing infrastructure assets that support the transportation, storage, and processing of natural gas liquids, refined products, and petrochemicals along the Gulf Coast
  • A public company in its acquisition of certain upstream assets in the natural gas Barnett Shale play
  • Vencer Energy, LLC in its acquisition of Hunt Oil Company’s Permian Basin oil and gas business
  • SparkCognition on its acquisition of AIM2, a financial technology company
  • Independence Resources Holdings in its sale of Independence Resources Management to Earthstone Energy, Inc., for an aggregate purchase price for the acquisition was approximately US$186 million, comprised of a combination of cash and common stock in the acquirer
  • Trilantic Capital Partners and Climate Adaptive Infrastructure in connection with their equity and debt investments in Intersect Power, a renewable energy development company with utility scale solar projects
  • Diversified Gas & Oil in connection with its first securitization of its operated upstream proved-developed assets, through a notes offering by its special purpose vehicle, Diversified ABS, of US$200 million offering of non-recourse asset backed securities
  • A public E&P company in its asset exchange transaction involving oil and gas properties in the Appalachian Basin
  • A private E&P company in the acquisition of oil and gas properties located in the DJ Basin from private sellers
  • A private investment company in the acquisition of a private E&P company owning and operating offshore assets in the Gulf of Mexico from private sellers
  • Private equity funds in connection with investments in privately held E&P companies targeting oil and gas properties located in the Arkoma Basin, DJ Basin, Midland Basin, and Eagle Ford Shale
  • Solaris Midstream in a strategic joint venture with Concho Resources focused on optimizing produced water logistics at scale in the Northern Delaware Basin
  • A private E&P entity on various oil, gas, and water commercial midstream contracts involving assets in the DJ Basin
