Since joining the firm in 2010, Ms. Berlin has represented both financial institutions and issuers in a variety of corporate transactions, including initial public offerings, block trades, at the market offerings, and spin-off transactions. She also advises public companies on a day-to-day basis, including assisting them in the preparation and filing of ’34 Act reports and advising them on corporate governance and securities law issues.

  • InvenTrust Properties in connection with its spin-off and listing of its lodging business, Xenia Hotels & Resorts, as well as the spin-off of its “non-core” assets to Highlands REIT

Ms. Berlin also represents a number of public companies and their boards of directors in connection with equity offerings as well as on a day-to-day basis, including assisting them with ’34 Act reporting and compliance matters, complex disclosure issues, corporate governance “best practices,” NYSE listing compliance, and securities regulation matters.
