Latham & Watkins Advises the Underwriters on Hawks Acquisition Corp’s Initial Public Offering

Firm represents the underwriters in the offering by the special purpose acquisition company

Hawks Acquisition Corp (the Company), a special purpose acquisition company, has announced the pricing of its initial public offering of 20,000,000 units at a price of US$10.00 per unit. The units will be listed on the New York Stock Exchange and trade under the ticker symbol “HWKZ.U.” Each unit consists of one share of Class A common stock of the Company and one-half of one redeemable public warrant. Each whole public warrant entitles the holder thereof to purchase one share of Class A common stock of the Company at a price of US$11.50 per share. Once the securities comprising the units begin separate trading, the shares of Class A common stock and public warrants are expected to be listed on the New York Stock Exchange under the symbols “HWKZ” and “HWKZ WS,” respectively. 

Latham & Watkins LLP represents the underwriters in the offering with a corporate deal team led by Houston partner Ryan Maierson  and Los Angeles/New York partner Greg Rodgers, with Houston associates Ryan Lynch, Jessica Sherman, and Kirby Swartz. Advice was also provided on tax matters by Houston partner Bryant Lee, with Houston associate Marianne Standley.
