Latham Advises Joint Bookrunners in Atlantica's Issuance of US$100 Million Senior Notes

Cross border Latham team represented the Joint Bookrunners in the notes issuance of the sustainable infrastructure company.
Atlantica Sustainable Infrastructure Jersey Limited, a direct wholly owned subsidiary of Atlantica Sustainable Infrastructure plc, has successfully completed the offering of US$100,000,000 in aggregate principal amount of its 4.00% Green Exchangeable Senior Notes due 2025. In addition, the full option was exercised for US$15,000,000 in aggregate principal amount.
 
Atlantica is a sustainable infrastructure company that owns and manages renewable energy, efficient natural gas, transmission and transportation infrastructures and water assets. The notes are fully and unconditionally guaranteed, on a senior, unsecured basis, by Atlantica. They will bear interest at a rate of 4.00% per year and will mature on July 15, 2025, unless earlier repurchased, redeemed pursuant to a tax redemption or exchanged.
 
Latham & Watkins represented J.P. Morgan, RBC Capital Markets and BMO Capital Markets as Joint Bookrunners in the transaction, with a team led by London and Milan partner Ryan Benedict with lawyer Irene Pistotnik. Advice was provided on the terms of the exchangeable notes by New York partners Reza Mojtabaee-Zamani and Greg Rodgers, with associate Eric Rice; on UK law matters by London partner Chris Horton with associate Anna Ngo; on Spanish law matters by partner Ignacio Gomez-Sancha; on US tax matters by New York partners Bora Bozkurt and Aaron Bernstein; and on green bond aspects by New York associate Aaron Franklin.
