Latham & Watkins Advises Ventas, Inc. in US$500 Million Senior Notes Offering

Interdisciplinary deal team advised the leading real estate investment trust in the offering.

Latham & Watkins represented Ventas, Inc. (Ventas), a leading real estate investment trust, in a public offering of US$500 million aggregate principal amount of 4.750% senior notes due 2030 at 97.862% of the principal amount. The notes are being issued by Ventas Realty, Limited Partnership, a wholly owned subsidiary of the company, and will be guaranteed, on a senior unsecured basis, by the company.

Latham harnessed a cross-office and interdisciplinary team, including from its market-leading Capital Markets, REIT, Investment Funds, and Tax practices, to advise on the transaction. In 2019, Latham advised issuers and borrowers on the most issuances of corporate bonds in the US, according to Bloomberg.

Chicago partners Roderick Branch and Cathy Birkeland and Los Angeles partner Julian Kleindorfer led the Latham deal team, with Chicago associates Abigail Raish, Kenneth Sands and Samantha Jackson. Advice was also provided on investment fund matters by Chicago partner Nabil Sabki, with associate John Reinert; and on tax matters by Los Angeles partners Ana O’Brien and Eric Cho, with associate William Kessler.
