Latham & Watkins Advises Riverstone in Connection with Enviva Holdings Recapitalization

A multidisciplinary deal team across the firm’s M&A, Investment Funds, and Tax Practices represented Riverstone in the US$1 billion transaction.

Enviva Holdings, LP (Enviva Holdings) has announced that it has successfully completed a series of transactions that recapitalized the company (the Recapitalization) with more than US$1 billion of new equity contributions and incremental equity commitments from affiliates (the Continuation Fund and the Rollover Fund) of Riverstone Holdings LLC (Riverstone).

Latham & Watkins LLP represented Riverstone in connection with the Recapitalization and in raising the Continuation Fund and the Rollover Fund as part of the general partner-led secondary transaction. Washington, D.C. partner Nicholas Luongo and Houston partner Jesse Myers led the M&A team, with associates Madeleine Neet, Samantha Seley, and Sarah Dunn, and Washington, D.C. partners Barton Clark and Amy Rigdon led the Investment Funds team, with associates Ali Beidoun, Lauren Ford, Cassy Romano, Loyal Horsley, and Clare Scott.
