Latham & Watkins Advises Initial Purchasers in PTC’s US$1 Billion Offering of Senior Notes

New York capital markets team represented the initial purchasers in the offering by the leading software and services company.

PTC Inc. has announced the pricing of the private offering of its US$500 million aggregate principal amount of 3.625% Senior Notes due 2025 (the 2025 notes) and US$500 million aggregate principal amount of 4.000% Senior Notes due 2028 (the 2028 notes and, together with the 2025 notes, the notes). The aggregate principal amount of the notes was increased from the previously announced offering size of US$750 million.

Latham & Watkins LLP represented the initial purchasers in the offering with a corporate deal team led by New York partners Stelios Saffos and Ian Schuman, with counsel Jason Ewart and associates Roger Yarett, and Egzon Sulejmani.
