Yanbing (Yan) Chu is an associate in the firm’s Securities and M&A Litigation group and focuses her practice on M&A and shareholder litigation.

Yan represents financial institutions, public companies, and boards of directors in securities and commercial litigation, specifically in:

  • M&A litigation
  • Class action litigation
  • Books and records demands 
  • De-SPAC litigation
  • Complex commercial litigation

Prior to joining the firm, Yan clerked for Chief Justice Collins J. Seitz Jr. of the Delaware Supreme Court.

Yan’s relevant experience includes representing:

  • New Relic Inc. in achieving a full victory at the Delaware Court of Chancery, defeating multiple demands for books and records following New Relic's announcement of its US$6.5 billion acquisition by Francisco Partners and TPG; a decision upheld on appeal by the Chancellor
  • A client in winning a complete victory in a Delaware Court of Chancery trial over multiple books and records demands
  • The sponsor and directors of a SPAC entity in securing a favorable settlement in shareholder litigation
  • A private equity firm in securing a favorable settlement in a Delaware Court of Chancery shareholder litigation arising from its acquisition of a media company
  • A special committee of independent directors in shareholder litigation arising from an M&A transaction
  • A pharmaceutical company in securing an arbitration victory in a contract dispute against a competitor*
  • An individual client in defending against fraud and bribery charges at trial; the charges were overturned on appeal*
  • A commercial tenant in winning a jury verdict against his landlord in a pro bono matter*
