Ms. Petukhova advises issuers and underwriters on a wide range of equity and debt capital markets transactions, including initial public offerings (IPOs), secondary and follow-on offerings, public company representation, as well as debt offerings and debt restructurings.

  • HeadHunter Group in connection with a number of shareholders’ follow-on offerings of American depositary shares on Nasdaq
  • The sole underwriter and the sole placement agent on Yandex’s US$1 billion public offering of American depositary shares on Nasdaq and concurrent private placement
  • TCS Group Holding in connection with its US$300 million secondary public offering of GDRs listed on the London Stock Exchange

  • Samruk Kazyna, the Kazakhstan welfare fund, on its debut Eurobond offering pursuant to Regulation S/144A
  • The joint lead managers on the debut offering of guaranteed notes by Silknet, a telecommunication company in Georgia 
  • The joint lead managers in Ukreximbank’s issuance of fixed rate and subordinated loan participation notes
  • Private offering of a Euro-denominated secured loan participation notes by a Ukrainian company
  • A number of banks in the CIS in connection with the drawdowns under the MTN programs, issuance of perpetual loan participation notes, and sustainable bonds
  • DTEK, the largest privately owned energy company in Ukraine, in connection with the restructuring of its secured and unsecured, syndicated and bilateral bank debt
  • The arranger and lender of a secured facility in the amount of US$4.9 billion in connection with the take private offer for KAZ Minerals PLC
  • The lenders in respect of a US$2.1 billion secured facility for a holding company of a major industrial group and further amendments in relation to intra-group restructuring and redomiciliation
  • A major creditor in relation to Mechel’s debt restructurings in 2015 and 2020
  • A lender in connection with a US$322 million acquisition financing provided to an oil trader
  • A lender in connection with a US$325 million term loan facility for a gold mining group
  • The arranger in respect of a US$240 million secured financing to O1 Properties for the purposes of acquiring a large office building
  • A lender in relation to a US$150 million financing to a private investment fund
  • A Russian bank in connection with a repo arrangement for a private client that was used to finance the acquisition of ETFs and collateralized by stock
