Harrison Hong is an associate in Latham & Watkins’ Liability Management Practice.

He represents private equity sponsors, direct lenders, and corporate borrowers across a range of financing and liability management transactions. His experience includes in-court and out-of-court restructurings, exchange offers and recapitalizations, DIP and exit financings, and amendments and refinancings of syndicated and private credit facilities. He also advises on acquisition financings and related post-closing matters, including covenant analysis.

Harrison has worked with clients across a variety of industries, including consumer and retail, technology, healthcare, industrials, and energy.

Liability Management and Special Situations

  • An ad hoc committee of senior noteholders in connection with the prepackaged chapter 11 restructuring of Cutera, Inc., including negotiation of DIP and exit facility terms and a US$65 million new money financing backstopped by the group*
  • Forever 21 in connection with an amendment to its credit agreements to permit asset sales, including the sale of retail store locations*
  • MSGN Holdings L.P. (a subsidiary of Sphere Entertainment Co.) in connection with a forbearance agreement relating to its term loan facility*
  • Enviva Inc. in its chapter 11 proceedings, including documentation and negotiation of a non-disclosure agreement and DIP and exit financing facilities that deleveraged over US$1.5 billion of funded debt and facilitated the company’s emergence as a privately held company under new ownership and governance*
  • An ad hoc committee of noteholders in connection with the first phase of New Fortress Energy Inc.’s US$2.7 billion liability management transaction involving (i) the issuance of US$1.2 billion of new senior secured notes and (ii) a private exchange of US$1.5 billion of existing notes, including structuring and documenting intercompany loan arrangements to upstream proceeds for debt repayment*
  • A private equity-backed portfolio company in connection with a liability management transaction involving a US$70 million real estate-secured bridge financing facility*
  • Prima Wawona in connection with a US$100 million bridge financing facility providing for automatic conversion to DIP financing upon a chapter 11 filing*
  • Wheel Pros in connection with a liability management transaction involving a US$235 million enhanced FILO facility as part of a double-dip financing structure*
  • Carvana in connection with a liability management transaction in which supporting noteholders exchanged existing senior unsecured notes for new senior secured notes, enabling the company to deleverage over US$1.2 billion and retain flexibility to incur US$1.15 billion of senior priority debt and US$250 million on a pari passu basis*
  • Venator in connection with:
    • A US$275 million multi-draw senior secured superpriority DIP facility*
    • A chapter 11 exit financing package comprising a US$100 million revolving credit facility and a US$175 million term loan*
  • A private equity firm in connection with a potential liability management transaction for a portfolio company in the eye care industry involving preferred equity structurally senior to existing debt obligations*

Acquisition Financing and Other

  • SK Capital in connection with securing approximately US$1.5 billion in combined revolving and term loan financing (US and Canadian dollars) to finance the acquisition of Apotex Pharmaceutical*
  • Francisco Partners in connection with securing US$175 million in combined revolving and term loan financing to invest in a software company*
  • Leo Holdings in connection with a series of note transactions providing approximately US$10 million of financing to a company in the process of organizing a SPAC transaction*
  • Fortress Credit Corp. in connection with post-closing acquisition matters relating to MarshBerry, including review of joinder and security documentation, in its capacity as administrative agent for a secured term loan facility*
  • Thoma Bravo in connection with a refinancing of its senior secured term loan facility related to the acquisition of Cox Automotive*
  • Madison Dearborn Partners in connection with securing US$265 million in combined revolving and term loan financing to finance the acquisition of Shaw Development*
  • Windjammer Capital in connection with securing US$135 million in combined delayed-draw term loan and term loan financing to finance the acquisition of a manufacturing company*
