Philip advises clients in mergers and acquisitions, joint ventures, financings, development contracts, and other corporate and commercial transactions in the energy and infrastructure sectors.

Philip represents strategic and financial investors, project developers, independent power producers, and lenders, with a particular focus on renewable energy, battery, and energy transition infrastructure.

Philip maintains an active immigration pro bono practice, representing individuals seeking asylum and other immigration relief.

Philip’s experience includes advising:

  • Pattern Energy Group in its acquisition and US$11 billion debt financing of the SunZia 550-mile transmission line and related wind energy generation projects*
  • Quinbrook Infrastructure Partners in its US$1 billion sale of Scout Clean Energy, an IPP platform for wind, solar, and battery storage projects*
  • Brookfield Renewable in connection with:
    • Multiple refinancings of Smoky Mountain, a 378 MW US hydroelectric portfolio*
    • A sale of solar project investment tax credits from a tax equity partnership under the IRA’s transferability provisions*
    • Its private placement of over US$400 million relating to a 250 MW portfolio of C&I solar projects*
  • A leading lithium developer in connection with the development of joint venture lithium extraction facilities to produce lithium carbonate from brine found in the Smackover Formation*
  • Cypress Creek Renewables in connection with a credit facility for utility-scale battery storage infrastructure in Texas*
  • The United States Department of Transportation in connection with:
    • Its US$4.06 billion loan facility to the Gateway Development Commission under the Railroad Rehabilitation and Improvement Financing (RRIF) program to finance construction of a new two-track Hudson River passenger rail tunnel between New Jersey and Manhattan*
    • Its US$200 million TIFIA loan to the Maryland Transportation Authority to finance construction of a new tolled bridge crossing over the Potomac River*
