Nadia Patiño is an associate in the San Diego office of Latham & Watkins and a member of the firm’s Corporate Department.

Ms. Patiño advises companies in the life sciences, technology, and other industries with their capital raising transactions, including IPOs and follow-on and secondary offerings. She also represents clients on mergers and acquisitions and other strategic transactions, as well as SEC disclosure and reporting requirements and corporate governance matters.

Ms. Patiño also advises investment banks on capital markets offerings.

Ms. Patiño has broad experience in general corporate and transactional matters. Prior to rejoining the firm, she held various in-house counsel positions within Ford Motor Company, was general counsel of Wingcast, a joint venture between Ford and Qualcomm, and was assistant general counsel of the corporate and commercial law groups at Sempra Energy and San Diego Gas & Electric. Ms. Patino utilizes her vast experience to provide her clients with practical and commercially oriented advice. 

Significant recent matters include representing:

  • Prometheus Biosciences in its US$10.8 billion acquisition by Merck
  • Icosavax in its US$67.8 million registered direct offering of common stock
  • Ligand Pharmaceuticals in the spin-off of its antibody discovery business OmniAb and subsequent business combination with a special purpose acquisition company, resulting in OmniAb becoming an independent publicly traded company (the deal was one of the first Reverse Morris Trust transactions combined with a deSPAC)
