Marissa Gluck is an associate in the New York office of Latham & Watkins.

Marissa has experience in a variety of structured finance, securitization, and other secured financing transactions, representing banks, issuers, underwriters, investors, placement agents, borrowers, lenders, funds, and other financial institutions. In particular, Marissa works on the issuance of esoteric asset-backed securities, including securitizations of affordable housing assets, a variety of fintech and startup company assets, data centers, transportation assets, and venture capital investment financings. She also assists in in developing bespoke structured finance vehicles and products.

Marissa maintains an active pro bono practice and has represented clients in Violence Against Women Act matters and matters involving financings for nonprofit organizations.

Marissa serves on the New York City Bar Association Committee of Structured Finance and the New York Bar Association Committee of Structured Finance and served as the Secretary for the New York City Bar Association Committee of Structured Finance from 2022 to 2024.

Marissa’s experience includes advising:

  • KKR, as sponsor, on the asset-backed acquisition financing of the Kobalt music catalog and other catalogs
  • Numerous borrowers on affordable housing securitization transactions
  • Investment banks, as initial purchasers, on multiple data center securitizations
  • A venture capital fund on a bespoke structure to provide financings to startup companies
  • Startup companies in venture capital investment financings
  • The investors on a private placement transaction backed by customer agreements, HFC infrastructure, network assets, control accounts, and shared infrastructure agreements
  • A fund, as borrower, on a financial assets-backed credit facility, including the contribution of participations and active trades
  • The seller of consumer loans under a forward-flow purchase agreement
