Hugo Bowkett advises a full range of stakeholders on complex, multijurisdictional restructurings, special situations, and financings across the capital structure.

Mr. Bowkett leverages his keen commercial judgment and extensive experience to represent asset managers, hedge funds, alternative capital providers, financial institutions, private equity sponsors, and corporates on high-stakes transactions that often entail negotiating and managing differing stakeholders’ interests, including:

  • Investments with multilayered capital structures
  • Schemes of arrangement and restructuring plans
  • Security enforcements
  • UK administrations and Company Voluntary Arrangements (CVAs)
  • In- and out-of-court proceedings in multiple jurisdictions

He drives process efficiency in every transaction and facilitates relationships across Latham’s multidisciplinary platform — including close collaboration with the Finance, Corporate, Benefits, and Tax Practices — to devise bespoke solutions for the client.

Mr. Bowkett also guides clients on restructuring matters involving securitization, whether full-business, RMBS, CMBS, or trade receivables, as well as on special situations financing.

He completed a six-month secondment in Alcentra’s special situations practice, where he advised funds on their underlying investments, including on various restructurings.

Mr. Bowkett is a member of the Turnaround Managers Association.

  • The creditors committee on the €865 million first- and second-lien financing arrangements and €620 million recapitalization of Imagina/Mediapro, a Spanish multimedia communications group

    • Store portfolio’s CVA
    • c. £1.35 billion debt restructuring in 2019
    • £600 million debt and equity recapitalization in 2020
  • Comdata Group, a leading global service provider in customer management, on its comprehensive debt restructuring
  • The ad hoc committee on the restructuring of Deoleo, a Spanish-headquartered and global olive oil production and distribution business, involving a Spanish homologación process, partial debt-for-equity swap, new rights issue, and complex intra-group reorganization with business and asset hive down
  • The senior creditors on the c. €450 million debt and equity restructuring of Fraikin Group, a French-headquartered international trucks leasing business*

  • A multinational corporate headquartered in Western Europe and its board of directors on its ongoing shareholding, corporate, and financing arrangements, as well as strategic, trading, and reorganization matters
  • A unitranche lender on the c. €97 million and NOK400 million financing of FSN Capital’s public-to-private acquisition of Saferoad Holding, a Norwegian-based provider of road safety and road infrastructure products and solutions in Europe*
